We operate the website https://www.xotic.ai (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Xotic AI is an interactive AI companionship platform that allows users to create, chat with, and customize lifelike digital personas. Through conversational AI, character building, and emotionally responsive roleplaying, Xotic AI offers users a space for storytelling, emotional connection, and personal exploration. The platform includes both free and premium features, such as character customization tools, immersive chat experiences, image generation, chat storage, and multi-chat functionality. Xotic AI is designed to be inclusive, NSFW (not safe for work), and user-driven, with strong privacy protections and creative freedom at its core.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Minors under the age of 18 are not permitted to use or register for the Services.

5. PURCHASES AND PAYMENT

We accept various forms of payment as specified on the Services. You represent and warrant that you have the legal right to use any payment method you provide. We reserve the right to refuse any order placed through the Services and may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

6. SUBSCRIPTIONS

Some parts of the Services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the type of subscription plan you select. Billing cycles are set on a monthly or annual basis, and automatically renew unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us.

7. NO REFUND POLICY

All subscription fees, token purchases, and other payments made to Xotic AI are final and non-refundable. By making a purchase or subscribing to our services, you acknowledge and agree to this no-refund policy.

7.1 No Refunds for Subscriptions
Regardless of whether you purchased a monthly, quarterly, or annual subscription plan, no refunds will be provided for any portion of unused subscription time. This policy applies even if:

• You decide to cancel your subscription early
• You are dissatisfied with the service
• Your account is suspended or terminated for violations of these terms
• You made the purchase by mistake or changed your mind
• You are unable to use the service due to personal circumstances

7.2 No Refunds for Token Purchases
All XOT token purchases are final and non-refundable. Once tokens are purchased and added to your account, they cannot be refunded, exchanged for cash, or transferred to other users.

7.3 Account Termination
If your account is suspended or permanently terminated due to violations of our terms of service, community guidelines, or any illegal activity, you will forfeit all remaining subscription time, unused tokens, and paid features without any refund or compensation.

7.4 Service Changes or Discontinuation
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. No refunds will be provided if we make changes to features, pricing, or if we discontinue certain services.

7.5 Chargebacks and Disputes
Initiating chargebacks or payment disputes for authorized purchases may result in account suspension or termination. We reserve the right to contest unauthorized chargebacks and may take appropriate legal action when necessary.

By purchasing any subscription or making any payment to Xotic AI, you acknowledge that you have read, understood, and agree to be bound by this no-refund policy. This policy is enforceable to the full extent permitted by law.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or content from the Services to create a collection or database
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information

• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services
• Use any information obtained from the Services to harass, abuse, or harm another person
• Make improper use of our support services or submit false reports
• Engage in any automated use of the system
• Upload or transmit viruses, trojan horses, or other material that interferes with any party's uninterrupted use of the Services
• Attempt to impersonate another user or person or use the username of another user

9. USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions").

Any Contribution you transmit to us will be treated as non-confidential and non-proprietary. By providing any Contribution, you grant us and our affiliates a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Contribution throughout the world in any media.

10. CONTRIBUTION LICENSE

By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing.

11. SOCIAL MEDIA

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers (each such account, a "Third-Party Account") by either: (1) providing your Third-Party Account login information through the Services; or (2) allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account.

13. ADVERTISERS

We allow advertisers to display their advertisements and other information in certain areas of the Services. We simply provide the space to place such advertisements, and we have no other relationship with advertisers.

14. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES.

22. AI-GENERATED CONTENT LIABILITY PROTECTION

XOTIC.AI PROVIDES ARTIFICIAL INTELLIGENCE SERVICES INCLUDING BUT NOT LIMITED TO CONVERSATIONAL AI, CHARACTER GENERATION, IMAGE GENERATION, AND OTHER AI-POWERED FEATURES. YOU ACKNOWLEDGE AND AGREE THAT:

WE ARE NOT LIABLE FOR ANY CONTENT GENERATED BY OUR AI MODELS, LANGUAGE MODELS, OR IMAGE GENERATION SYSTEMS. ALL AI-GENERATED CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT CONTROL, ENDORSE, OR ASSUME RESPONSIBILITY FOR THE ACCURACY, APPROPRIATENESS, OR LEGALITY OF ANY AI-GENERATED CONTENT.

IF YOU ENCOUNTER OR GENERATE ILLEGAL CONTENT, YOU MUST IMMEDIATELY DISCONTINUE USE. CONTINUED USE OF THE SERVICES AFTER ENCOUNTERING ILLEGAL CONTENT CONSTITUTES ACCEPTANCE OF FULL LIABILITY FOR YOUR ACTIONS.

22.a. BLOCKED CONTENT POLICY & USER ACCOUNTABILITY

Xotic AI maintains a strict prohibited content policy. The following content is explicitly blocked, tracked, monitored, and subject to immediate account suspension with no refunds:

1. Minor Content: Any content involving individuals under 18 years of age in sexual, romantic, or suggestive scenarios.

2. Non-Consensual Sexual Content: Content that depicts sexual acts without explicit consent, including but not limited to rape, sexual assault, and revenge pornography.

3. Illegal Sexual Content: Content that depicts illegal sexual activities, including but not limited to bestiality, necrophilia, and incest.

4. Extreme Violence: Content that depicts extreme violence, gore, torture, or harm to humans or animals.

5. Hate Speech: Content that promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics.

6. Terrorism and Extremism: Content that promotes or glorifies terrorism, violent extremism, or other dangerous activities.

7. Doxxing and Harassment: Content that shares personal information without consent or engages in targeted harassment.

8. Suicide and Self-Harm: Content that promotes, glorifies, or provides instructions for suicide, self-harm, or eating disorders.

The use of spam, unsolicited marketing, or malicious content intended to disrupt or harm the platform or other users is strictly prohibited. This includes the distribution of viruses, malware, or attempts to hack or exploit the platform.

e. Violation of Intellectual Property Rights

f. Discriminatory or Offensive Content

3. User Responsibilities and Liabilities

However, Xotic AI disclaims all liability for any third-party content or interactions, and we are not liable for any consequences that arise from user-generated content or behavior.

Violating community guidelines or engaging in prohibited activities as defined in the Community Guidelines.

Engaging in fraudulent, deceptive, or illegal activity while using our platform.

Creating or distributing harmful, abusive, or offensive content.

Xotic AI may, at its sole discretion, choose to temporarily suspend your account or limit your access to certain features while we review the situation.

2. Content Removal or Modification

You agree that you will be held financially liable for any damages caused by your actions, including legal costs, fines, and other associated expenses arising from your breach of these Terms and Conditions.

4. Monetary Fines or Compensation
In certain cases, you may be required to pay compensation or fines if your actions result in harm to Xotic AI or third parties. This includes, but is not limited to:

Compensation for the costs associated with defending Xotic AI from legal claims or reputational damage caused by your actions.

Fines for violations related to intellectual property rights, such as copyright infringement or trademark misuse.

These fines or compensation fees will be assessed based on the severity of the violation and may be pursued through legal channels if necessary.

5. Injunctions and Cease-and-Desist Orders
If you continue to violate the terms after receiving a warning or suspension, Xotic AI may issue a cease-and-desist order to prevent further harm. In extreme cases, Xotic AI may seek an injunction through legal proceedings to prevent future violations, particularly if the misconduct involves fraudulent activities or illegal behavior.

6. Permanent Ban from the Platform
In cases of severe or repeated violations, Xotic AI may impose a permanent ban, preventing you from accessing or using the platform in any way. This could apply if:

You repeatedly violate our Community Guidelines despite warnings and temporary suspensions.

You engage in activities that are illegal, unethical, or endanger the safety of the platform and its users.

A permanent ban means you will no longer be able to create a new account or access any features of the platform.

7. Reporting to Authorities
If your actions violate any laws or regulations, we may be required to report your behavior to relevant law enforcement agencies or regulatory bodies. This may happen if your breach involves:

Fraud, identity theft, or other illegal activities.

Distribution of harmful or malicious content (such as viruses or malware).

8. No Refunds
In the event of an account suspension or termination due to a violation of these Terms and Conditions, Xotic AI will not be liable to issue any refunds for subscription fees or other payments made. Users whose accounts are terminated for breaches of these terms forfeit any remaining access to paid features, subscriptions, or virtual content.

9. Right to Modify Consequences
